Purpose of Role
The General Counsel will oversee all legal matters and strategic legal advice, ensuring regulatory compliance. The job requires deep knowledge of European banking and financial laws with extensive experience in banking law and corporate lending, with strong leadership and management skills.
Primary Responsibilities
• Manages all legal matters (with external counsel) pertaining to the Bank (Luxembourg entity), its capital and its operations
• Handle complex transactions, including corporate lending, real estate finance, M&A, and restructurings, sometimes involving multiple jurisdictions
• Liaise with clients, lawyers, and other institutions to manage competing interests and ensure business goals are met
• Acting as the center of competence regarding legal risks in relation to the bank’s loan-portfolio on a day-to-day basis
• Advising on all legal matters relating to the bank’s activities in the Luxembourg, Dutch, French and Spanish markets
• Supporting the on-boarding of new products and/or lending activities in existing or new jurisdictions
• Manage legal budgets and preferred external firms
• Conduct legal, regulatory, and reputational risk assessments for transactions
• Play positive role in the development and growth of General Counsel department staff through excellent communication skills, both verbal and written, along with strong delegation skills assuring a cross-trained staff
• Manage, support, and train staff
• Perform other duties as required
Qualifications and Experience
• University degree in Law or Business Law (or comparable)
• 10 years of relevant experience with finance transactions is a requirement (real-estate is an asset), preferably within the Legal, Credit or Restructuring Department of an established bank, or the Banking & Finance department of an established law-firm
• Good knowledge of contract, property and insolvency laws
• Mastered experience in general corporate and banking legal matters, including corporate organization, drafting transactional documents, license agreements, corporate law, contractual law, regulatory matters, risk management
• Professional discretionary disposition, upholding, representing and advocating for the company values
• Strong verbal, written and interpersonal communication skills with the ability to apply common sense to carry out instructions and instruct others, train personnel, read, analyse and interpret documents, understand procedures, write reports, correspondence and procedures, speak clearly to customers and employees
• Thorough understanding of management procedures; ability to plan department or Bank activities (setting objectives, developing strategies, budgeting, and developing policies and procedures)
• Ability to deal with complex problems involving multiple facets and variables in non-standardized situations
• Show initiative, high energy and a desire to succeed, while demonstrating enthusiasm and passion to inspire employees throughout the organization
• Fluent in English. Two of French, Dutch, Spanish a benefit
